Terms and conditions

These General Terms and Conditions ("Terms") govern the use of the marketplace provided by Bidders Highway AB, reg. no. 559296-2939 ("Bidders Highway" or "we"), which enables users to market, sell and/or purchase motor vehicles online via Bidders Highway’s website or application ("Platform"), as well as the services provided by Bidders Highway in connection with the Platform.

These Terms apply to all persons who visit, register on, or otherwise use the Platform ("Users"), regardless of whether they are private individuals or business entities. These Terms apply to the User for as long as the User accesses the Platform or Bidders Highway’s services.

Definitions

Aftersales Period: refers to the period commencing at the end of the Auction and continuing for 24 hours, during which the Seller may choose to accept a bid lower than the Reserve Price in order to achieve a Winning Bid.

Auction: refers to the bidding process for a motor vehicle conducted via the Platform based on an Auction Listing and continuing until the Auction End.

Auction Listing: an advertisement published on the Platform by a Seller containing information about a specific motor vehicle offered for auction for the purpose of marketing and selling the motor vehicle.

Auction End: refers to the point in time when an Auction either (i) results in a Winning Bid, or (ii) ends at the time stated in the Auction Listing without a Winning Bid having occurred.

Auction Outcome: refers to the result of an Auction at Auction End, including information as to whether a Winning Bid has been achieved and, where applicable, the highest bid and the identity of the winning Buyer.

Fee: a collective term for the fees charged by Bidders Highway for the provision of its services, including the Administration Fee, Buyer’s Fee and Seller’s Commission.

Administration Fee: a fixed fee of SEK 2,995 (incl. VAT) for work performed prior to the Auction commencing (including valuation, preparation of advertisement text and layout, booking and/or performance of professional photography, and creation of the Auction Listing), payable by the Seller to Bidders Highway.

Consumer: a private individual who, in the capacity of Buyer or Seller on the Platform, uses Bidders Highway’s Buyer Platform Service or Seller Platform Service.

Buyer’s Fee: a fee of 7.5% (incl. VAT) of a winning bid, payable by the Buyer to Bidders Highway upon a Winning Bid. The Buyer’s Fee amounts to a minimum of SEK 5,000 and a maximum of SEK 75,000.

Buyer: a private individual or business entity that registers for the purpose of placing bids and acquiring motor vehicles via the Platform.

Purchase Agreement: an agreement between the Buyer and the Seller regarding the acquisition of a motor vehicle offered through an Auction Listing on the Platform.

Buyer Platform Service: the digital bidding and intermediary service provided by Bidders Highway to Buyers, including, inter alia, bid management, presentation of the Auction Outcome and communication of contact details upon a Winning Bid.

Seller Platform Service: the service provided by Bidders Highway to the Seller, which includes listing a motor vehicle for auction on the Platform (including valuation, preparation of advertisement text and layout, booking and/or performance of professional photography, and creation of the Auction Listing).

Reserve Price: the minimum price pre-determined by the Seller as acceptable consideration for a motor vehicle listed for auction, below which the Seller is not obliged to enter into a Purchase Agreement or complete the Transaction.

Seller: a private individual or business entity that registers on the Platform for the purpose of marketing and selling motor vehicles via the Platform.

Seller’s Commission: a fee of 2.5% (incl. VAT) applied to the final price (i.e. the winning bid) upon a Winning Bid.

Transaction: refers to the Buyer’s acquisition of a motor vehicle from the Seller as a result of a Winning Bid.

Winning Bid: refers to the situation where the Auction is concluded by the acceptance of the highest bid (Auction End) as a result of (i) the Reserve Price being met or exceeded, or (ii) the Seller, after the Auction End (during the Aftersales Period), expressly accepting a bid below the Reserve Price.

Conditions for Use of the Platform

All Users of the Platform must be at least 18 years of age or have written consent from a legal guardian. Where a User registers a legal entity, the User warrants that they are authorised to bind such legal entity. By registering on the Platform, the User confirms acceptance of these Terms and acknowledges having read the referenced policies.

Bidders Highway reserves the right to deny access to the Platform to Users who violate, or have previously violated, these Terms, referenced policies or applicable laws and regulations.

Scope of Bidders Highway’s Role

Bidders Highway is not an auctioneer in the traditional sense and does not conduct inspections of motor vehicles marketed via the Platform. Bidders Highway provides no guarantees regarding Auction Listed motor vehicles (including, without limitation, their existence, quality, safety, legality or title). Bidders Highway does not own the listed items, does not set prices and does not add terms to the Purchase Agreement. Bidders Highway is not a party to the Transaction or the Purchase Agreement, does not decide on withdrawal, returns or claims relating to the goods, and does not adjudicate disputes on the merits.

Time of Performance of Platform Services

The Seller Platform Service shall be deemed performed by Bidders Highway once the Auction Listing has been published on the Platform. The Buyer Platform Service shall be deemed performed by Bidders Highway at Auction End, when Bidders Highway has communicated the Auction Outcome and, in the event of a Winning Bid, provided the Seller’s contact details to the Buyer in order to complete the Transaction.

Separate Purchase Agreement

The purchase of the motor vehicle constitutes a separate Transaction entered into directly between the Seller and the Buyer under Swedish law. The rights and obligations of the parties under the Purchase Agreement are governed by mandatory Swedish law and the terms of the Purchase Agreement. The Purchase Agreement is based on the content of the Auction Listing and any additional terms agreed between the Buyer and the Seller.

Both companies and private individuals may list motor vehicles for auction on the Platform. This means that different rules apply to purchases between private individuals and purchases from business entities. For example, when a private individual acquires a motor vehicle via the Platform from another private individual, consumer protection legislation does not apply, which, inter alia, means that the Buyer generally has no right of withdrawal, exchange or open purchase. Consumer protection laws and regulations do not apply to Purchase Agreements where:

both the Buyer and the Seller are private individuals;

both the Buyer and the Seller are business entities/legal persons; or

the Buyer is a business entity/legal person and the Seller is a private individual.

Purchase Agreements referred to in points (a)–(c) above are governed by the Swedish Sale of Goods Act (1990:931).

Where a Buyer, acting as a private individual primarily for purposes outside of business activities, acquires a motor vehicle from a Seller who is a business entity, the Purchase Agreement is governed by applicable consumer protection legislation, such as the Swedish Act (2005:59) on Distance Contracts and Contracts Concluded Outside Business Premises ("Distance Contracts Act"). All rights of the Buyer under such consumer protection legislation, including the right of withdrawal, remedies for defects and claims for damages, shall be exercised directly against the Seller. Bidders Highway is not a party to the Purchase Agreement and cannot therefore be held liable for the Seller’s obligations thereunder.

Seller’s Obligations

When a Seller registers on the Platform to list a motor vehicle for auction, the Seller accepts these Terms and the associated policies. The Seller is responsible for ensuring the accuracy of the information provided and for lawful ownership and full right of disposition over the motor vehicle. Upon request, the Seller shall be able to present the necessary documentation confirming this.

In the Auction Listing, the Seller shall disclose all known defects, deficiencies or damage and otherwise provide all relevant information required under applicable law. The Seller warrants that the materials (images, videos, texts, etc.) do not infringe third-party rights.

From the commencement of the Seller Platform Service, throughout the period during which the Auction Listing is active, and until the Aftersales Period has expired, the motor vehicle may not be offered for sale in any other manner than via the Platform (Bidders Highway has exclusivity).

Buyer’s Obligations

When a Buyer registers on the Platform to purchase motor vehicles, the Buyer accepts these Terms and the associated policies. The Buyer shall read all information provided by the Seller in the Auction Listing before placing a bid. The Buyer is responsible for conducting their own inspection of the motor vehicle and for asking all necessary questions prior to placing a bid. Bidders Highway encourages Buyers to take all reasonable measures to inspect a motor vehicle before bidding. This includes asking questions in the comment field of the Auction Listing and, where possible, agreeing with the Seller to inspect the vehicle in person.

Special Terms for Consumers

This Section 8 applies only to Consumers as defined in these Terms and governs Consumers’ use of the Platform and the Buyer Platform Service. Bidders Highway is never a party to the Purchase Agreement between the Seller and the Consumer.

Bidders Highway provides the Platform, the Buyer Platform Service and the Seller Platform Service in the capacity of a business entity, which means that Consumers enjoy certain consumer protection rights under applicable laws and regulations, including provisions relating to complaints and the right of withdrawal.

Consumers generally have the right under the Distance Contracts Act to withdraw from agreements entered into online without stating any reason within 14 days. The withdrawal period expires 14 days after the conclusion of the agreement. Note, however, that in order to use our services, Consumers must consent to the right of withdrawal expiring once we have fully performed the relevant service. Corresponding rules apply to any partial or additional services. See further clarification regarding the time at which the right of withdrawal expires below, in Sections 8.4–8.5.

When a Consumer places a bid on an Auction Listing, the Consumer agrees that Bidders Highway commences provision of the Buyer Platform Service. The Buyer Platform Service is deemed performed when the Consumer places a bid on an Auction Listing. If the Consumer’s bid does not result in a Winning Bid, Bidders Highway does not charge any Buyer’s Fee. Once the Seller Platform Service has been performed by Bidders Highway, no right of withdrawal applies to that service under the Distance Contracts Act.

When the Consumer initiates publication of an Auction Listing on the Platform (which occurs after contact with one of our administrators, when the Seller submits the publication forms to Bidders Highway), the Consumer agrees that Bidders Highway commences provision of the Seller Platform Service. The Seller Platform Service is deemed fully performed when the Consumer’s Auction Listing is published on the Platform. Once the Seller Platform Service has been performed by Bidders Highway, no right of withdrawal applies to the service under the Distance Contracts Act.

In the Auction Listing, Bidders Highway will inform Consumers of:

whether the Seller of the Auction Listed item is a business entity or not; and

depending on whether the Seller is a business entity, whether the Distance Contracts Act and consumer protection laws apply to the purchase.

Sellers who exercise their right of withdrawal in respect of the Seller Platform Service shall be reimbursed for fees already paid. Bidders Highway reserves the right, however, to deduct from the reimbursement amount a proportional sum corresponding to the costs incurred for any parts of the service already performed before the Consumer exercised the right of withdrawal.

Binding Effect of Bids and Winning Bid

All bids placed on the Platform are binding. Submitted bids may not be withdrawn during an ongoing Auction or the Aftersales Period. This is required to maintain fair and predictable bidding. Bidders Highway reserves the right, in cases of manifest error or system malfunction, to suspend or adjust the bidding process.

For Auction Listings with a Reserve Price, a bid must be equal to or exceed the Reserve Price in order to result in a Winning Bid. The Seller is free to lower the Reserve Price or to accept a bid below the Reserve Price after the Auction End (during the Aftersales Period). If the Reserve Price is not met and the Seller does not expressly accept a lower bid, no Winning Bid occurs and no Buyer’s Fee is charged.

At Auction End, Bidders Highway communicates the Auction Outcome and, in the event of a Winning Bid, provides the Seller’s contact details to the Buyer in order to complete the Transaction. Bidders Highway does not participate in the execution of contracts and is not responsible for the process following Auction End, except as expressly stated in these Terms.

If no Winning Bid is achieved during the ordinary Auction period, the Aftersales Period commences, during which the Seller is free to accept bids submitted during the Auction that did not meet the Reserve Price. Bidders Highway continues to facilitate communication between the Buyer and the Seller during the Aftersales Period.

Subsidisation of Bidders Highway’s Fee

Bidders Highway may, at its sole discretion, wholly or partially subsidise its own Fee in order to facilitate an Auction resulting in a Winning Bid. This constitutes an internal price adjustment of our platform fee and does not affect the purchase price, ownership, or contractual relationship between the Buyer and the Seller. Bidders Highway does not become a party to the Purchase Agreement.

Fees and Payment

Buyer’s Fee

The Buyer shall pay a Buyer’s Fee of 7.5% (incl. VAT) of the winning bid. The Buyer’s Fee amounts to a minimum of SEK 5,000 and a maximum of SEK 75,000.

The Buyer’s Fee is charged only in the event of a Winning Bid. No Buyer’s Fee is charged if the Reserve Price is not met and the Seller does not accept a lower bid.

The Buyer’s Fee is invoiced without delay upon a Winning Bid and shall be paid no later than 48 hours after Auction End, or after the time at which a Winning Bid is achieved during the Aftersales Period. The Buyer will be clearly informed of the payment obligation.

If, under applicable law, Bidders Highway is unable to claim the Buyer’s Fee from the Buyer after a Winning Bid—for example, where a Consumer has exercised a statutory right of withdrawal, or where the Buyer chooses not to complete the Transaction due to circumstances attributable to the Seller, such as the motor vehicle not corresponding to the information provided by the Seller—the Seller shall instead be obliged to pay the Buyer’s Fee to Bidders Highway. If the Seller breaches Bidders Highway’s exclusivity and markets the motor vehicle in violation of Section 6.3 hereof, the Seller shall be obliged to pay the Buyer’s Fee to Bidders Highway.

Administration Fee

The Seller shall pay an Administration Fee of SEK 2,995 (incl. VAT) for an Auction Listing before the Auction commences. The Administration Fee covers professional photography and administrative steps prior to publication of the Auction Listing (valuation, advertisement production, layout, booking/performance of photography, listing setup).

The Administration Fee is charged when the Seller books/confirms production or when Bidders Highway commences any of the service components of the Seller Platform Service. The Administration Fee is non-refundable once production and/or marketing of the Auction Listing has commenced.

If Bidders Highway, for its own reasons and not due to the Seller, decides not to publish the advertisement, the Administration Fee shall be refunded to the Seller.

Seller’s Commission

For Auction Listings published as of 1 February 2026, a Seller’s Commission of 2.5% (incl. VAT) of the final price shall apply upon a Winning Bid. Auction Listings published on or before 31 January 2026 are not subject to Seller’s Commission.

Payment Method and Late Payment

Fees are invoiced in accordance with the registration details provided by the User. Statutory default interest shall apply in the event of late payment.

Content on the Platform

Barter or exchange proposals are not permitted in the comment field on the Platform. Bidders Highway may refuse, suspend or subsequently remove publication of irrelevant or prohibited content.

The Seller is responsible for holding the necessary rights to the materials and content published on the Platform and grants Bidders Highway an unlimited right to process, adapt, store, copy and make the materials and content available to the public, including via partners. These rights remain valid even after the Auction has ended or been terminated.

Bidders Highway obtains a full right of use to any intellectual property rights in materials and content published on the Platform. Materials may not be used outside the normal use of the Platform.

The Seller consents to external publication for marketing purposes (e.g. mobile.de/Blocket).

Suspension of Users

Misuse of the Platform

Bidders Highway may block or suspend a User who misuses, manipulates or uses the Platform in violation of the Terms, referenced policies or applicable law (e.g. sales law, intellectual property law, anti-money laundering regulations, marketing legislation).

Payment-Related Restrictions

In the event of unpaid invoices (e.g. for Fees), Bidders Highway may temporarily restrict the User’s access to certain functions—including the ability to place new bids and/or publish new Auction Listings—until full payment has been recorded. Such restrictions do not affect bids already placed or the parties’ existing contractual obligations.

Liability and Limitation of Liability

Bidders Highway does not guarantee continuous, uninterrupted or secure access to the Platform. Bidders Highway is not liable for any damage, direct or indirect, caused by use of the Platform or its content. The Platform is solely a marketplace connecting Sellers and Buyers of motor vehicles.

Amendments to Terms, Services and Prices

Bidders Highway may amend the Terms, services and prices at its discretion. Users will be informed by Bidders Highway in accordance with applicable law. Users have the right to terminate their existing agreement with Bidders Highway before the amendments take effect. The effective date of the new Terms will be clearly stated in the notice from Bidders Highway.

Business Users (P2B)

In the event of amendments to these Terms, applicable policies, services or prices, we will inform the User at least 15 days in advance (or longer if technical adaptation is required). Users have the right to terminate before the amendment takes effect.

Consumers

In the event of material changes to these Terms, applicable policies, services or prices, Consumers will be informed in advance (e.g. via email and upon the next login to the Platform), with as much notice as possible. Where advance notice is not possible, Bidders Highway will notify the Consumer as soon as possible. By continuing to use the Platform after the new Terms have entered into force or after receiving notice of the changes (whichever occurs later), the Consumer shall, to the extent permitted, be deemed to have accepted the new Terms.

Criteria for Ranking Auction Listings

Auction Listings on the Platform are primarily presented based on the time remaining until Auction End—i.e. auctions ending soonest are displayed at the top. This time factor is the main criterion determining the order in which listings are shown to Users.

The Platform also offers a free-text search function, allowing Users to search auctions using their own terms. This search function affects which listings are displayed based on the occurrence of search terms in titles and descriptions, but does not otherwise affect the ranking, which continues to be governed by time remaining until Auction End.

At present, no other forms of ranking are used, such as prioritisation based on popularity, price, user ratings or paid advertisements. We also do not accept payment from Sellers to influence listing placement.

Bidders Highway may, in exceptional cases, choose to highlight certain items in special editorial contexts, such as curated collection auctions or articles. Such editorial highlights are selected manually and are not part of the automated ranking system.

Governing Law and Disputes

These Terms shall be interpreted in accordance with substantive Swedish law. Any dispute shall be settled by the Stockholm District Court as the court of first instance. In the event of any discrepancy between the Swedish version and an English-language version of these Terms, the Swedish version shall prevail.
